Skillsoft, a leading platform for transformative learning experiences, today announced the grant of an equity award in connection with the hiring of Fabien Rech as the Company’s Senior Vice President, Sales – EMEA, effective February 10, 2025.
In accordance with NYSE Listing Company Manual Rule 303A.08, the Compensation Committee of Skillsoft’s Board of Directors approved the grant of 25,000 restricted stock units (RSUs) of the Company’s Class A common stock to Mr. Rech as a material inducement to his employment.
The RSUs were issued on April 3, 2025, under the Company’s 2024 Employment Inducement Incentive Award Plan. The award will vest in equal annual installments over four years, contingent upon Mr. Rech’s continued employment with the Company through each applicable vesting date.
This grant was made outside of Skillsoft’s 2020 Omnibus Incentive Plan, relying on the NYSE employment inducement exemption, which permits equity grants to new hires without shareholder approval when certain disclosure conditions are met. In compliance with this rule, Skillsoft is issuing this press release as a public announcement of the inducement award.
